PDX Terms of Service

These Terms of Service (Terms) constitute a legally binding agreement between you ("User," "you," or "your") and PDX Advisors LLC ("PDX," "we," "our," or "us"). These Terms govern your access to and use of our products and services (collectively, the "Services"), including but not limited to the PDX website, PDX Customer app, and PDX Merchant app.
Acceptance of Terms
By accessing, viewing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accessing the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
Eligibility
You must be of legal age in your jurisdiction of residence to use the Services. If you are not of legal age, you must have obtained permission from a legal guardian (e.g., a parent) to use the Services.
Binding Agreement
Your use of the Services constitutes your acceptance of these Terms. If you do not agree to these Terms, you must not access or use the Services. Even if you do not expressly indicate your agreement, your continued use of the Services signifies your acceptance of these Terms.
Relationship with Settlement Bank
Please note that PDX does not hold any money or cryptocurrencies on behalf of customers. All customer funds remain in the customers' own wallets. For merchant payments, settlements are made in fiat currency through our partnership with Settlement Bank, ensuring that merchants are not exposed to cryptocurrency fluctuation risks.
Updates to Terms
PDX reserves the right to modify these Terms at any time. We will notify users of any material changes. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.
- (a) PDX does not hold customer funds or cryptocurrencies; these remain in customers own wallets.
- (b) Merchant payments are settled in fiat currency through our partnership with Settlement Bank, mitigating cryptocurrency fluctuation risks.
- (c) Customers utilize a partner company supporting Crypto Wallets for Fiat Payments, ensuring secure transactions while minimizing cryptocurrency-related risks.

1. Account Creation and Management
- 1.1 Creating Your PDX ID Account
- To access certain features of our Services, including the PDX Customer app and PDX Merchant app, you may need to create a PDX ID account. By registering, you agree to:
- (a) Provide accurate, current, and complete information about yourself.
- (b) Maintain and promptly update your account information.
- (c) Be at least 13 years old or the age of majority in your jurisdiction, whichever is higher.
- (d) If you register to create an account to receive payments via our application, you expressly authorize PDX Advisors LLC’s service provider, Dwolla, Inc. to originate credit transfers to your financial institution account. You must be at least 13 years old and obtain parental permission if under 18 to receive funds. You authorize us to collect and share with Dwolla your personal information including full name, email address and financial information, and you are responsible for the accuracy and completeness of that data. - Your personal information will be handled in accordance with our Privacy Policy.
- 1.2 Account Security and Responsibilities
- You are responsible for:
- (a) Maintaining the confidentiality of your account credentials.
- (b) All activities that occur under your account.
- (c) Ensuring that you do not share your account with others, as each account is tied to a single verifiable identity.
- (d) Promptly notifying PDX of any unauthorized use or security breaches of your account.
- PDX is not liable for any loss or damage arising from your failure to comply with these security obligations.
- 1.3 Account Termination
- PDX reserves the right to disable or terminate your account at our discretion, particularly if we believe you have violated these Terms.
- 1.4 Digital Currency Risks and Disclosures
- When using our Services in connection with digital currencies, you acknowledge and accept the following risks:
- (a) Transactions in digital currencies in and of themselves are irreversible, except in instances where refunds are provided in fiat currency and may result in loss of funds if conducted fraudulently.
- (b) Digital currencies are subject to high price volatility and liquidity risks.
- (c) PDX is not a bank or financial institution and does not hold customer funds.
- (d) Digital currencies are not legal tender, government-backed, or FDIC-insured.
- (e) Regulatory changes may affect the use, transfer, and value of digital currencies.
- 1.5 Customer Funds and Merchant Settlements
- PDX does not hold any money or cryptocurrencies on behalf of customers. All customer funds remain in the customers own wallets.
- Merchant payments are settled in fiat currency through our partnership with a Settlement Bank, protecting merchants from cryptocurrency fluctuation risks.
- 1.6 Unauthorized Transfers
- For any unauthorized, mistaken, or accidental transfer of digital currencies into the PDX app, please contact our Support team at [email protected]. Additional information may be required to verify your ownership of the assets or account in question.
- 1.7 Identity Verification
- To comply with applicable laws and regulations:
- (a) You authorize PDX to make necessary inquiries, directly or through third parties, to verify your identity.
- (b) PDX reserves the right to close, suspend, or limit access to your account if we are unable to verify your identity after reasonable inquiries.
- (c) You consent to provide any additional information and documentation that may be requested for identity verification purposes.
2. Using Your Account
- 2.1 Making Payments
- When using the PDX Customer app or other PDX Services to make payments:
- (a) Transactions are conducted with Authorized Merchants for goods or services.
- (b) Payment authorization remains valid until the merchant fulfils the transaction.
- (c) Some transactions may not be immediately available from the merchant.
- 2.2 Refunds and Returns
- (a) Refunds and returns are subject to each Authorized Merchant's policies.
- (b) Due to digital currency volatility, refunds may be provided as:
- (c) Ensuring that you do not share your account with others, as each account is tied to a single verifiable identity.
- • Cash
- • Store credit
- • Credit toward a future PDX payment
- • Original payment currency at prevailing market exchange rates
- (c) For accidental overcharges resulting in multiple transaction receipts, contact PDX Support with proof of overcharge for resolution
- 2.3 Payment Disputes
- (a) PDX does not offer purchase protection.
- (b) Due to the irreversible nature of digital currency transactions, PDX does not provide customer assistance for merchant disputes.
- (c) Users are advised to review these Terms, especially Section 9 ("Limitation of Liability"), before using the Services.
- 2.4 Fees and Limits
- PDX charges fees for the use of Services; the impact from exchange rates, if any; and exceeding current payment limits (per transaction or per day or per week).
- PDX reserves the right to delay, hold, or return deposits to prevent suspected money laundering, fraud, or terrorist financing.
- 2.5 Account Security
- (a) PDX employs robust authentication, authorization, and encryption protocols for all service requests.
- (b) PDX can revoke access to protected resources as needed.

- 2.6 Error Resolution and Customer Support
- For all customer inquiries, problems, grievances, disputes, or complaints, please contact PDX Support at [email protected].
3. Closing Your Account
- 3.1 Account Closure Process
- You may close your PDX account at any time without incurring additional fees. However, please note the following:
- (a) You remain responsible for all obligations related to your account, even after closure.
- (b) All pending transactions or transfers must be completed or cancelled before account closure.
- 3.2 Post-Closure Obligations
- After closing your account:
- (a) You remain liable for any outstanding obligations or disputes related to your use of PDX services.
- (b) PDX may retain certain information as required by law or for legitimate business purposes.
- 3.3 Restrictions on Account Closure
- PDX reserves the right to prevent account closure under certain circumstances, including but not limited to:
- (a) Attempts to evade an ongoing investigation.
- (b) Presence of pending transactions or open disputes/claims.
- (c) Outstanding debts owed to PDX or affiliated merchants.
- (d) Accounts subject to holds, limitations, or reserves.
4. Monitoring and Enforcement
- 4.1 Activity Monitoring
- (a) PDX implements robust monitoring systems to detect suspicious activities across all our Services, including the PDX Customer app and PDX Merchant app.
- (b) Through partnerships with third-party providers, PDX also monitors the origination of funds to ensure compliance with applicable laws and regulations.
- 4.2 Right to Take Action
- PDX reserves the right to:
- (a) Take appropriate legal action against any illegal or unauthorized use of our Services.
- (b) Refer cases to law enforcement authorities when necessary.
- (c) Disclose user identity or other information to comply with court orders or requests from law enforcement authorities.
- 4.3 Cooperation with Authorities
- (a) PDX will fully cooperate with any law enforcement authorities or court orders requesting or directing us to disclose user information.
- (b) This cooperation may include sharing identity information or other data provided through our Services.
- 4.4 User Acknowledgment
- (a) Acknowledge and accept PDX's right to monitor activity and take necessary actions as described above.
- (b) Waive any claims against PDX, its affiliates, licensees, and service providers resulting from actions taken during or as a result of investigations.
- (b) Agree to hold PDX and related parties harmless from any consequences of investigations conducted by PDX or law enforcement authorities.
5. Termination
- 5.1 Reasons for Termination
- PDX may terminate or suspend your access to the Services for any reason, including, but not limited to:
- • Violation of Terms: If you violate any of the terms or conditions of these Terms of Service, PDX may terminate or suspend your access.
- • Suspected Fraud or Misconduct: If PDX suspects that you are involved in fraudulent or illegal activities, we may terminate or suspend your access.
- • Safety or Security Concerns: If PDX believes that your continued use of the Services poses a risk to the safety or security of our platform or other users, we may terminate or suspend your access.
- • Discontinuation of Services: PDX may terminate or suspend your access to the Services if we discontinue offering those particular services.
- 5.2 Effect of Termination
- Upon termination or suspension of your access to the Services, your right to use the Services will immediately cease. Any outstanding obligations you have to PDX will remain in effect.
6. Intellectual property
- 6.1 Ownership of Intellectual Property
- All intellectual property rights in the Services, including the PDX Beam platform, databases, graphics, texts, icons, buttons, data, and information, are owned by PDX or its licensors. This includes any information derived from the Services or PDX's databases. All PDX-Provided Content is protected by copyright, trademark, patent, and other applicable laws.
- 6.2 Restrictions on Use
- You may not remove or alter any copyright or proprietary notices provided in the Services or PDX-Provided Content. You may not use or misuse any trademarks, symbols, slogans, or logos associated with the Services.
- 6.3 User-Generated Content
- Certain features of the Services may allow you to contribute text, images, data, or other information (collectively, "Your Content"). By submitting your content, you represent that you have the legal right to do so and that its use by PDX and others will not infringe any intellectual property rights or violate any laws.
- 6.4 License Grant
- Upon submission of Your Content, you grant PDX a worldwide, perpetual, irrevocable, transferable, license to access, use, distribute, reproduce, display, modify, translate, create derivative works, and sublicense Your Content. You waive all moral rights in Your Content in favour of PDX and its authorized users.
- 6.5 No Obligations
- PDX is under no obligation to maintain Your Content in confidence, compensate you for Your Content, or respond to any of Your Content.
- 6.6 Services Reliability Information
- Certain services may require the collection of data from your equipment for reliability and predictive maintenance purposes ("Services Reliability Information"). PDX may retain and use this information as described in its Privacy Policy.
- 6.7 Proprietary Rights
- No right, title, or interest in the Services or PDX-Provided Content is transferred to you. All rights not expressly granted herein are reserved by PDX. Any unauthorized use of the Services is a breach of these Terms and may violate intellectual property laws.
- 6.8 Confidentiality
- PDX may provide professional services to other parties. This does not prevent PDX from using techniques, methodologies, tools, ideas, or know-how gained during the course of providing the Services to further its own business and intellectual property rights.
7. Restrictions on use
- 7.1 Permitted Use
- You agree to use the Services only for purposes that are permitted by these Terms and in compliance with all applicable laws, regulations, and industry standards. You may only use the Services as authorized in these Terms and for no other purposes.
- 7.2 Prohibited Activities
- You agree not to use the Services:
- • In a manner that violates any applicable laws, regulations, or industry standards, including those related to data export or software licensing.
- • To impersonate or attempt to impersonate PDX, a PDX employee, another user, or any other person or entity.
- • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that may harm PDX, users of the Services, or expose them to liability.
- 7.3 Additional Prohibitions
- Without limiting the foregoing, you additionally agree not to:
- • Use the Services in a manner that could damage, disable, or impair the Services or any PDX systems, or interfere with any other party's use of the Services.
- • Use any automated tools or processes to access or monitor the Services, or to copy or transfer content without our prior written consent.
- • Reproduce, duplicate, copy, sell, trade, or resell any aspect of the Services for any commercial purpose.
- • Reproduce, duplicate, copy, sell, trade, or resell any products or services bearing any trademark, service mark, trade name, logo, or other signifier owned by PDX in a way that is likely or intended to cause confusion about the owner or authorized user of materials.
- • Use any device, software, or routine that interferes with the proper working of the Services.
- • Introduce any malicious or harmful code, such as viruses, Trojan horses, worms, logic bombs, or other similar materials.
- • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Services, including any information transferred through the Services, the servers on which the Services are stored, or any connected systems.
- • Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
- • Attempt to interfere with the proper working of the Services in any other way.
- 7.4 Geographic Restrictions
- The Services are controlled and operated from within the United States. PDX makes no representation that the Services, PDX-provided content, your content, services, products, information, or other materials available on, in, or through the Services are appropriate or available for use outside the United States, and access to them from territories where they are illegal is prohibited. Those who choose to access the Services from outside the United States do so on their own will and are responsible for compliance with applicable laws.
8. Disclaimers and warranties
- 8.1 No Warranties
- PDX disclaims all warranties, express or implied, regarding the sufficiency of the services provided by PDX. This includes warranties against equipment defects or inoperability, and warranties that the services or equipment will be free from deficiencies, errors, defects, or nonconformities.
- 8.2 Information Disclaimer
- The information provided through the Services, including reports and data, is for general informational purposes only. While PDX strives to provide accurate information, PDX cannot guarantee the accuracy, completeness, or usefulness of this information. The Services are not a substitute for professional monitoring, diagnostic, repair, or replacement services.
- 8.3 Reliance on Information
- Your reliance on the information provided through the Services is at your own risk. PDX disclaims all liability arising from any reliance on such information.
- 8.4 Limitations of Use
- The Services are not fault-tolerant and are not designed for use in hazardous environments where failure could lead to serious consequences. PDX disclaims any warranty of fitness for such purposes.
- 8.5 No Representations or Warranties
- Any representations, promises, warranties, or statements made by PDX's salesperson, representative, or agent that differ from the terms of this Agreement are void. PDX is not liable for any advice or assistance provided regarding products, systems, or work that is not required under this Agreement.
- 8.6 Assumption of Risk
- YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "WITH ALL FAULTS" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PDX NOR ANY PERSON ASSOCIATED WITH PDX MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES, PDX-PROVIDED CONTENT, OR THE INFORMATION CONTAINED THEREIN. WITHOUT LIMITING THE FOREGOING, NEITHER PDX NOR ANYONE ASSOCIATED WITH PDX REPRESENTS OR WARRANTS THAT THE SERVICES OR THEIR CONTENTS WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. YOU ACKNOWLEDGE AND AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
- 8.7 Third-Party Content
- Comments, opinions, and content expressed through the Services are the sole responsibility of their respective users. PDX is not responsible for, and disclaims all liability in relation to, your content posted, uploaded, or otherwise submitted to or through the Services.
- 8.8 Geographic Restrictions
- Any products and/or services described through the Services are offered in jurisdictions where they may be legally offered. Information provided through the Services does not constitute an offer or solicitation in any jurisdiction where such activity is prohibited.
9. Limitation of liability
- 9.1 General Limitation
- PDX shall not be liable for damages other than actual and direct damages proven in a court of law or through arbitration. PDX's liability shall not exceed the price you paid for the Service that is the subject of the claim. If any part of this limitation of liability is found to be invalid or unenforceable, PDX's total liability shall not exceed ten US (USD) dollars.
- 9.2 Specific Exclusions
- Without limiting the foregoing, PDX shall not be liable to you for:
- • Indirect or consequential damages: Any indirect, incidental, consequential, punitive, or exemplary losses arising from your use of or inability to use the Services, including loss of profit, goodwill, business reputation, or data.
- • Reliance on information: Any loss or damage resulting from reliance on the completeness, accuracy, or existence of information or materials made available through the Services.
- • Third-party transactions:: Any relationship or transaction between you and a third-party advertiser or sponsor.
- • Data loss or corruption: The deletion, corruption, unauthorized access to, or failure to store, any content or communications data.
- • Third-party products or services: The use of any products or services obtained through the Services.
- • Other matters: Any other matter relating to the Services, PDX-Provided Content, or Your Content.
- 9.3 Notice of Potential Losses
- The limitations on PDX's liability shall apply regardless of whether PDX has been advised of or should have been aware of the possibility of any such losses arising.
- 9.4 Exclusive Remedy
- If you are dissatisfied with the Services or these Terms, your sole and exclusive remedy is to discontinue using the Services.
10. Indemnity
- 10.1 Indemnification
- You agree to defend, indemnify, and hold harmless PDX, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys' fees) arising from:

- 10.2 Survival
- This defence and indemnification obligation will survive the termination or cessation of these Terms and your use of the Services.
- 10.3 PDX's Right to Defend
- PDX reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You shall cooperate in all reasonable respects in such defense.
- 10.4 Consent to Settle
- You may not settle any claim that is referenced or otherwise covered by this Section 10 without the prior written consent of PDX.
11. Arbitration
- 11.1 Agreement to Arbitrate
- Any disputes arising from or relating to these Terms or your use of the Services, which cannot be resolved informally, shall be submitted to final and binding arbitration before one (1) arbitrator. If the dispute involves an allegation of liability exceeding US$200,000, three (3) arbitrators shall be used.
- 11.2 Arbitration Procedures
- Disputes shall be resolved exclusively through final and binding arbitration conducted by the American Arbitration Association pursuant to its Commercial Arbitration Rules. The arbitrator will decide the substance of all claims in accordance with the laws of the State of New York.
- 11.3 Arbitrator's Powers
- The arbitrator shall not be bound by rulings in prior arbitrations involving different PDX users but is bound by rulings in prior arbitrations involving the same PDX user to the extent required by applicable law. The arbitrator's award shall be final and binding, and judgement on the award may be entered in any court having jurisdiction thereof.
- 11.4 Provisional Remedies
- This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
- 11.5 Class Action Waiver
- TO THE EXTENT ALLOWED BY LAW, YOU AGREE TO IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY OR OTHER COURT TRIAL (OTHER THAN SMALL CLAIMS COURT) OR TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING FILED AGAINST PDX AND/OR RELATED THIRD PARTIES. FURTHER, UNLESS BOTH YOU AND PDX OTHERWISE AGREE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF ANY CLASS OR REPRESENTATIVE PROCEEDING.
- 11.6 Severability
- In the event this Section 11 is held unenforceable, then the entirety of this Section 11 will be deemed void. Except as provided in the preceding sentence, this Section 11 will survive termination of the Terms and your use of the Services.
- 11.7 Equitable Relief
- Notwithstanding the foregoing, each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights
12. Governing law and jurisdiction
- 12.1 Applicable Law
- All matters relating to the Services, these Terms, and any dispute or claim arising therefrom shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to its choice of law provisions or rules.
- 12.2 Exclusive Jurisdiction
- Subject to the arbitration requirements set forth in these Terms, any legal suit, action, or proceeding arising out of or related to these Terms, the Privacy Policy, or the Services shall be instituted exclusively in the U.S. District Court for the Southern District of New York or any State court in New York County, New York.
- 12.3 Waiver of Objection
- You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.
13. Third-party providers
- 13.1 Third-Party Agreements
- The Services may be accessed through applications linked to specific devices and operating systems (e.g., iOS or Android). Your use of the Services may be subject to separate agreements you have with your mobile device operating system provider, mobile device manufacturer, mobile service carrier, or other parties involved in providing your mobile device service.
- 13.2 PDX's Responsibility
- This agreement is between you and PDX, not with any third party. PDX is solely responsible for the Services, maintenance, and support.
- 13.3 Third-Party Liability
- Third parties have no warranty obligations regarding the Services. Any claims, losses, liabilities, damages, costs, or expenses arising from the failure of the PDX services to conform to any warranty provided by PDX are PDX's sole responsibility.
- 13.3 PDX's Liability
- PDX is responsible for addressing any claims relating to the PDX services, including:
- • Product liability claims
- • Claims of non-conformity to legal or regulatory requirements
- • Claims arising under consumer protection, privacy, or similar legislation
- • Intellectual property claims
14. Modifications to these Terms
- 14.1 Amendment Rights
- PDX reserves the right to modify these Terms at any time, in our sole discretion. Any changes will be effective immediately upon posting.
- 14.2 Notice of Changes
- PDX is not obligated to provide you with individual notices of changes to these Terms. It is your responsibility to review the Terms regularly for updates.
- 14.3 Continued Use as Acceptance
- Your continued use of the Services after any changes to these Terms constitute your acceptance of the modified terms.
- 14.4 Superseding Effect
- Any updated or edited version of these Terms supersedes any prior versions immediately upon posting. The prior version is of no continuing legal effect unless the revised version specifically refers to the prior version and explicitly states that the prior version (or portions thereof) will remain in effect.
15. General provisions
- 15.1 Electronic Communications
- PDX reserves the right to modify these Terms at any time, in our sole discretion. Any changes will be effective immediately upon posting.
- 15.2 Notices and Communications
- If you provide your mobile phone number, PDX may contact you at that number using autodialed or prerecorded messages for account service, fraud investigation, or debt collection purposes. PDX will not use autodialed or prerecorded messages for marketing purposes without your prior express written consent. PDX may share your mobile phone number with service providers but not with third parties for their own purposes without your consent.
If you provide your mobile phone number, PDX may contact you at that number using autodialed or prerecorded messages for account service, fraud investigation, or debt collection purposes. PDX will not use autodialed or prerecorded messages for marketing purposes without your prior express written consent. PDX may share your mobile phone number with service providers but not with third parties for their own purposes without your consent.
Written notices must be sent by postal mail to PDX at the address provided. - 15.3 Monitoring and Recording

PDX does not act as your agent or trustee, enter into a partnership or joint venture with you, guarantee the identity of any user or seller, determine your tax liability, or collect or pay taxes arising from your use of the Services.
PDX reserves the right to modify or discontinue the Services, without notice, and will not be liable for any resulting loss or damage.
